Terms

These Terms and Conditions were last revised on 2 September 2026. They apply to every visit to, account on, and purchase from the SOMA Academy website. Read them in full: by using the site, creating an account, or enrolling in any course, free or paid, you accept them.

1. Who we are, and what this document is

SOMA Academy is a brand of SOMAFUSION WELLNESS LLP, a limited liability partnership registered in India (GSTIN 27AFBFS9682Q2ZV), with its registered office at A-507, Kohinoor Square, Plot No. 46, N. C. Kelkar Marg, opposite Shiv Sena Bhavan, Shivaji Park, Dadar West, Mumbai 400028, Maharashtra, India. "SOMA", "the Academy", "we", "us" and "our" mean SOMAFUSION WELLNESS LLP. "You" means the person using the site or holding the account.

These Terms, together with the Privacy Policy, the Refunds and Cancellations Policy and the Educational Disclaimer, form the whole agreement between you and us. Each of those documents is part of these Terms.

This document is an electronic record under the Information Technology Act, 2000 and the rules made under it. It is generated by a computer system and does not need a physical or digital signature. Ticking the acceptance box at checkout, or continuing to use the site, is your signature to it.

2. Words used in these Terms

Site means academy.somalongevitysciences.com and everything served from it. Material means everything on the Site or delivered through it: text, articles, lessons, videos, audio and narration, slides, images, diagrams, quizzes, assessments, downloads, certificates, email content, software and design. Course means any Foundations course, Clinical Deep Dive, Certified Programme, masterclass, conference recording or other structured product on the Site, whether free or paid. Access Window means the period during which a Course is open to you, as stated on that Course's page at the time you enrol. Licence has the meaning given in section 8.

3. Who may use the Site

You must be at least 18 years old and legally able to enter a binding contract. If you are enrolling on behalf of a company, clinic or institution, you confirm you have its authority to bind it, and "you" includes that organisation. We do not knowingly allow anyone under 18 to hold an account, and we will close any account we discover belongs to one.

You must give us accurate, current and complete information when you register, enrol or pay, and keep it that way. An invoice is issued on the details you give us; we are not responsible for a tax invoice raised on wrong details you supplied.

4. Your account

An account is for one named person. It may not be shared, lent, sold or transferred, and Course access under it may not be used by anyone else. Keep your password private; everything done through your account is treated as done by you, and you must tell us at once if you believe someone else has used it.

We may suspend or close an account, without refund, where these Terms are breached, where we reasonably suspect fraud, sharing or misuse, or where the law requires it. Section 15 explains this further.

5. Enrolment, prices and payment

A Course page is an invitation for you to make an offer to enrol. Your offer is made when you complete checkout, and a contract is formed only when payment is received in full and confirmed to us by our payment processor. Until then we may decline or cancel the order for any reason, including an obvious pricing error, in which case anything you paid is returned in full.

Prices are shown in Indian Rupees on each Course page. Applicable taxes are added at checkout according to your billing address. You are responsible for any bank, card, currency-conversion or other charges levied by your own bank or provider. We may change prices at any time; a change does not affect a purchase already completed.

Payments are processed by Razorpay. We never see or store your full card or bank details. Free Courses require no payment; enrolling in one is still an acceptance of these Terms in full.

Promotional prices, coupons and complimentary access are at our discretion, may be withdrawn at any time before purchase, and carry no entitlement to the same treatment in future.

6. Immediate delivery, and no refunds

Every Course is a digital product delivered in full the moment payment is confirmed. There is nothing waiting to be shipped, and the whole of the Material is open to you from that moment.

By completing checkout you expressly request that we begin delivering the Course immediately, and you acknowledge that once delivery has begun you lose any right to cancel, withdraw from, or obtain a refund of the purchase. Accordingly, and to the fullest extent permitted by law, all enrolment fees are final and non-refundable. This includes, without limitation, a change of mind; not starting or not finishing the Course; finding the Course too basic or too advanced; a difference between what you expected and what the published curriculum describes; problems with your own device, connection or software; the closing of your Access Window; and suspension or termination of your account for breach of these Terms.

Refunds are not given in part, pro rata, or as credit against another Course. Where a jurisdiction gives you a right that cannot lawfully be waived, that right is preserved to the minimum extent the law requires and no further. The Refunds and Cancellations Policy states the only circumstances in which money is returned.

So that you can judge before you buy rather than after: every field carries a free Foundations course, every Course page publishes its full curriculum, and free journal articles teach the same subjects the paid material goes deeper into. We encourage you to use them.

7. Access Window

Your access to a Course lasts for the Access Window stated on its page when you enrol. Where a page states a fixed period, such as the two-month completion window on Certified Programmes, access ends on that date without further notice. Where no period is stated, access continues for as long as we offer that Course on the Site. When an Access Window ends, the Licence in section 8 ends with it, and no copy of the Material remains with you. We have no obligation to extend an Access Window.

We will not withdraw a paid Course from you before your Access Window has ended, other than under section 15. We may, however, revise, correct, reorganise, re-record or replace Material within a Course at any time, because the evidence in medicine changes and the teaching must change with it. That is a feature of the Course, not a defect in it.

8. Licence, not ownership

All Material is, and remains, the exclusive property of SOMAFUSION WELLNESS LLP or the people and organisations that have licensed it to us, and is protected by the Copyright Act, 1957, the Trade Marks Act, 1999, international copyright treaties and the laws of other countries. Nothing you pay, and nothing you do on the Site, transfers any ownership of any Material, or any part of it, to you.

What enrolment gives you is a licence, not a copy. Subject to these Terms, on enrolment in a Course, free or paid, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and view the Material of that Course, through the Site and your own account only, during its Access Window, solely for your own education (the Licence). You are purchasing access for a period, in the way that a ticket or a streaming subscription is access for a period, and not a permanent copy of anything. This applies to free Courses exactly as it applies to paid ones: free means there is no fee; it does not mean the Material has been given away.

Except where the Site itself provides a download button for a specific file, you may not, and may not help or allow anyone else to:

• copy, download, save, screen-record, screenshot, photograph, print, transcribe or otherwise reproduce any Material, in whole or in part;
• share, forward, publish, post, broadcast, stream, distribute, sell, rent, lend, sublicense or otherwise make any Material available to anyone who has not enrolled in that Course;
• share your login, allow another person to view a Course through your account, or access a Course through someone else's;
• modify, translate, adapt, summarise for distribution, or create derivative works from any Material;
• use any Material, or any part of it, to teach, train, coach or present to others, whether for payment or not, or to build a competing course, product or service;
• use any Material to train, fine-tune, prompt, or build a dataset for any artificial-intelligence or machine-learning system, or scrape, crawl, mirror or extract it by any automated means;
• remove, hide or alter any copyright notice, watermark, credit or trade mark;
• circumvent, disable or interfere with any access control, player, gating, progress tracking or other technical measure on the Site.

Knowledge is a different thing from Material. You are free to use what you have learned in your own life and, if you are a clinician, in your own practice, within the limits of the Educational Disclaimer and the rules that govern you. You are not free to reproduce the Material through which you learned it.

The Licence ends automatically when your Access Window ends, when your account is closed, or when you breach any part of this section, whichever comes first. Breach of this section is a material breach of these Terms and an infringement of our intellectual property; we may terminate all your Courses and your account without refund, and we reserve every remedy the law allows, including damages, an account of profits, delivery-up or destruction of infringing copies, and injunctive relief in any court of competent jurisdiction, without the need to prove that damages would be inadequate. This section survives the end of any Course, Licence or account.

Trade marks. SOMA™ is a trade mark of SOMAFUSION WELLNESS LLP. "SOMA Academy", "SOMA Longevity Sciences", "The Thread, by SOMA", the SOMA wordmark and logo, and the Academy's other names, marks and logos are also our trade marks, whether or not they appear with a ™ symbol, and whether or not they are registered. Nothing in these Terms grants you any right to use any of them. You may not use them, or anything confusingly similar, in any name, domain, product, course, advertisement or social-media account, or in any way that suggests we endorse, approve or are associated with you or anything you offer, without our prior written consent. Any suggestion or feedback you send us about the Site may be used by us freely and without payment.

9. Certificates

Some Courses issue a digital certificate on completion. A certificate records only that a named person completed a specific Course on a specific date, and it can be checked against our record by anyone holding its verification link. It is not, and must not be represented as, a degree, diploma, licence, registration, accreditation, continuing-education credit, specialist qualification or a warrant of competence in any procedure, in India or anywhere else. Whether a certificate is recognised by any employer, regulator or institution is a matter for them, not for us.

A certificate is issued only when the Course's completion requirements, including any assessments, have genuinely been met by you personally. Once earned, a certificate remains valid and verifiable after your Access Window has closed. We may withhold, cancel or invalidate a certificate, without refund, if we find that it was obtained through cheating, impersonation, sharing of answers, use of another person's account, or any other breach of these Terms, or if the account behind it is deleted at your request.

10. Assessments and conduct

Every quiz, assessment and assignment must be your own unaided work. You may not share questions or answers, sit an assessment for another person or have one sat for you, or use any tool or arrangement designed to defeat the purpose of an assessment. You must not use the Site to upload malicious code, probe or overload our systems, harvest data about other users, post anything unlawful, defamatory, infringing or abusive, or impersonate any person. We may remove content and suspend or close accounts for breach of this section.

11. The Material is education, not medical advice

The Academy teaches. It does not diagnose, treat, prescribe or advise on any individual person's health, and nothing on the Site, in any Course, newsletter, podcast, event or correspondence with us, is medical advice, a medical opinion, or a substitute for the judgement of a qualified clinician who knows the person concerned. Reading the Site, enrolling in a Course or writing to us does not create a clinician-patient, doctor-patient or professional-client relationship with us, with SOMA Longevity Sciences, or with any person named on the Site.

You are solely responsible for how you use anything you learn here, and for confirming it against current guidance, local law and your own regulator before acting on it. Reference ranges, thresholds, doses, indications and contraindications quoted in the Material vary between laboratories, populations and countries, and change over time. Some subjects taught here are regulated differently in different places; it is your responsibility to know what is permitted where you are. We make no promise about any health, clinical, professional or financial outcome from studying with us. The Educational Disclaimer is part of these Terms.

12. Content you contribute

Where the Site lets you post a review, rating, comment, question or other content, you keep ownership of it and grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, edit, publish, display and quote it, with your first name and last initial or your chosen display name, on the Site and in our marketing, in any medium. You confirm that anything you post is your own, is honest, does not identify any patient or third party without their consent, and does not infringe anyone's rights. We may edit, decline or remove contributed content at any time without notice and without explanation.

13. Newsletter, podcast and events

The Thread, by SOMA is sent only to people who have asked for it and confirmed their address. Every issue carries an unsubscribe link. Transactional messages about your account, enrolments, receipts and certificates are part of the service and are sent whether or not you subscribe to the newsletter.

Conferences, workshops and live events are governed by the terms published on that event's own page. Where an event page is silent on any matter, these Terms apply.

14. Availability of the Site

We work to keep the Site available at all times but cannot guarantee it. Access may be interrupted for maintenance, updates, failures of third-party services, or events outside our control. Where planned maintenance will affect a Course, we will try to warn you. Interruptions do not extend an Access Window and do not give rise to any refund or compensation, except where the law requires otherwise.

15. Suspension and termination

We may suspend or terminate your access to any Course, or your account, immediately and without refund, if you breach these Terms, if we reasonably suspect fraud, sharing, cheating or misuse, if a payment is reversed or disputed, or where required by law or by a payment provider. We may also close accounts that have been inactive for a long period, after notice by email to the address on the account.

You may close your account at any time by writing to us. Closing an account ends every Licence under it, and does not entitle you to any refund.

Sections 6, 8, 9, 11, 12, 16, 17, 18, 19 and 21 survive any termination.

16. Chargebacks and disputed payments

If you believe a charge is wrong, write to us first; we resolve genuine errors quickly and in full. Raising a chargeback or payment dispute with your bank or card issuer in respect of a Course that was delivered as described, instead of contacting us, is a breach of these Terms. On notice of such a dispute we may suspend the affected Course and your account until it is resolved, contest the dispute using our record of your acceptance of these Terms and your access to the Material, and recover from you any fees, costs and losses we incur as a result. Where a chargeback succeeds in respect of a Course you have accessed, the Licence for that Course is void from the beginning.

17. Third-party services and links

The Site relies on services we do not control, including Razorpay for payment, video and audio streaming providers, Google services, and YouTube for embedded episodes. Each has its own terms and privacy practices, and we are not responsible for them. Links to other websites are provided for convenience; we do not endorse them and are not responsible for what they contain.

18. No warranties

The Site and all Material are provided "as is" and "as available". To the fullest extent the law allows, we make no warranty, express or implied, about the Site or any Material, including any warranty of accuracy, completeness, currency, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. Medicine changes; Material that was correct when published may be superseded. We do not warrant that any Course will meet your requirements, suit your level, or lead to any result.

19. Limitation of liability

To the fullest extent permitted by law, SOMAFUSION WELLNESS LLP, its partners, designated partners, employees, contractors, instructors, authors and licensors will not be liable to you for any indirect, incidental, special, consequential or punitive loss or damage, or for any loss of profit, income, business, goodwill, data or opportunity, however arising, whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if we were told it was possible.

Our total aggregate liability to you for all claims arising out of or connected with the Site, any Course or these Terms will not exceed the amount you paid us for the Course that gave rise to the claim in the twelve months before the claim arose, or, where you paid nothing, one thousand Indian Rupees (INR 1,000).

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or any liability under consumer protection law that cannot be waived. Where the law of your country grants you rights that these Terms cannot override, those rights apply to the minimum extent required.

20. Your indemnity to us

You agree to indemnify and hold harmless SOMAFUSION WELLNESS LLP and the persons listed in section 19 from and against all claims, losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising out of or connected with your breach of these Terms, your infringement of any intellectual-property or other right of ours or of any third party, any content you contribute, any chargeback raised in breach of section 16, or any clinical, professional or personal decision you or anyone else takes on the basis of the Material.

21. Governing law and disputes

These Terms, and any dispute or claim arising out of or in connection with them, the Site or any Course, are governed by the laws of India, without regard to any conflict-of-laws rules.

Talk to us first. Before starting any formal proceeding you agree to write to us at academy@somalongevitysciences.com describing the dispute, and to allow us thirty (30) days to resolve it with you in good faith.

Arbitration. Any dispute not resolved within that period will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended, by a sole arbitrator appointed by mutual agreement or, failing agreement within fifteen days, in accordance with that Act. The seat and venue of arbitration will be Mumbai, Maharashtra, India; the language will be English; the proceedings and the award will be confidential; and the award will be final and binding on both of us. Each party bears its own costs unless the arbitrator directs otherwise.

Courts. Subject to the arbitration clause, the courts at Mumbai have exclusive jurisdiction over any matter arising from these Terms, including applications in support of arbitration and enforcement of an award. Nothing in this section prevents us from seeking urgent injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property or the security of the Site.

Consumers. If you are a consumer under the Consumer Protection Act, 2019, nothing in this section takes away any right you have under that Act to approach a consumer forum; this section governs every other route.

22. Changes to these Terms

We may revise these Terms at any time by publishing the revised version on this page with a new "last revised" date. Where a change materially affects an enrolment you have already paid for, we will also email the address on your account. Continued use of the Site after a change is acceptance of it. The version of these Terms that you accepted at checkout, which we record with your order, governs that purchase.

23. General

Entire agreement. These Terms and the documents they incorporate are the entire agreement between you and us about the Site and the Courses, and replace any earlier communication. Severability. If any part of these Terms is found invalid or unenforceable, that part is limited or removed to the minimum extent necessary and the rest continues in full force. No waiver. Our not enforcing any provision is not a waiver of it. Assignment. You may not assign or transfer any right under these Terms; we may assign ours to any successor of the business on notice to you. Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control. Notices. Notices to you are sent to the email address on your account and are deemed received when sent; notices to us are sent to the email address below. Relationship. Nothing in these Terms creates a partnership, employment, agency or joint venture between you and us. Language. These Terms are written in English, which governs over any translation.

We acknowledge every grievance within two working days and aim to resolve it within thirty days.
